1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Signalyst Ltd ("Signalyst", "we", "our", or "us") regarding your use of the Signalyst website and service (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

Signalyst provides a lead generation service for accountants, solicitors, and other professionals. The Service includes:

  • Daily email alerts of newly incorporated Scottish companies
  • Filtering by postcode area and SIC codes
  • Company information including names, addresses, and director details

All company data is sourced from publicly available information published by Companies House.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By registering, you represent that you meet these requirements.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

  • Create a strong password meeting our security requirements
  • Not share your account with others
  • Notify us immediately of any unauthorised access
  • Accept responsibility for all activities under your account

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update this information as necessary.

4. Subscription and Payment

4.1 Free Trial

New users receive a 14-day free trial. No credit card is required to start the trial. At the end of the trial, you must subscribe to continue using the Service.

4.2 Subscription Plans

We offer monthly subscription plans at prices listed on our website. All prices are in British Pounds (GBP) and include VAT where applicable.

4.3 Payment Processing

Payments are processed securely through Stripe. By subscribing, you authorise us to charge your payment method on a recurring monthly basis. We do not store your card details.

4.4 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price increase takes effect. Your continued use after the price change constitutes acceptance.

4.5 Refunds

Subscription fees are non-refundable. However, you may cancel at any time and retain access until the end of your current billing period.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Resell, redistribute, or sublicense the data without our permission
  • Use automated tools to scrape or extract data beyond normal use
  • Attempt to gain unauthorised access to our systems
  • Interfere with or disrupt the Service
  • Send spam or unsolicited communications using our data
  • Use the Service in any way that violates applicable laws or regulations

6. Data and Content

6.1 Company Data

The company information provided through the Service is sourced from Companies House and is provided "as is". While we strive for accuracy, we do not guarantee that the data is complete, accurate, or up-to-date.

6.2 Your Use of Data

You may use the company data for legitimate business purposes, such as:

  • Direct marketing to businesses (in compliance with applicable laws)
  • Market research and analysis
  • Lead generation for professional services

You are responsible for ensuring your use of the data complies with all applicable laws, including data protection and marketing regulations.

7. Intellectual Property

The Service, including its design, features, and content (excluding company data from Companies House), is owned by Signalyst and protected by intellectual property laws. You may not copy, modify, or distribute our materials without permission.

8. Cancellation and Termination

8.1 Cancellation by You

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing period. You will retain access until then.

8.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activity

We will provide notice where practicable, except in cases of serious violations.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO:

  • Accuracy, completeness, or reliability of data
  • Uninterrupted or error-free operation
  • Fitness for a particular purpose
  • Non-infringement of third-party rights

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNALYST SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data or goodwill
  • Any damages exceeding the fees paid by you in the 12 months preceding the claim

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless Signalyst and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use after changes take effect constitutes acceptance of the modified Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of Scotland. Any disputes shall be subject to the exclusive jurisdiction of the Scottish courts, except where you have a statutory right to bring proceedings in another jurisdiction.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Signalyst regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign your rights or obligations under these Terms without our consent. We may assign our rights and obligations without restriction.
